Welcome To eDryv

Folti Technologies Limited owns and operates a ride-hailing platform "eDryv" that includes a website and social media pages (collectively "Website") and an application identified as eDryv offering electric-powered mobility alternatives. 

 

CONTRACTUAL RELATIONSHIP

These Terms and Conditions set out the terms and conditions applying to and governing the usage of the eDryv app - technology which connects passengers with drivers to help them move around the cities more efficiently. These Terms of Use govern the access of applications, websites, content, products, and services (the "Services") made available by eDryv, and the interaction with our representatives as it concerns the use of the Platform. 

By signing up and using the eDryv app, you have agreed to the terms and conditions that are set out below. In addition, marketplace guidelines and additional terms may apply to services, events, promotions, or activities provided by eDryv, and these additional terms will be disclosed to you in respect of the required additional services.

Any additional terms or guidelines shall be deemed to form part of these General Terms and Conditions and where there is a conflict between these General Terms and Conditions and any eDryv Services-specific terms, the terms related to the specific eDryv services shall prevail.

 

GENERAL TERMS & CONDITIONS OF USE

As a condition of your use of the Platform, you warrant that:

  • You possess the legal authority to create a binding legal obligation;
  • You will access and use the Platform and its Offerings in accordance with the Legal Terms;
  • You will only use the Platform and its Offerings in accordance with applicable laws; and
  • All information you provide in connection with signing up and using the Platform and its Offerings, and all information you provide for Company workers or representatives, will be true, accurate, current, and complete.

 

DRIVERS FEEDBACK

Passengers are encouraged to provide feedback regarding driver behavior and overall service experience through eDryv's designated feedback channels. We value this input as it helps us maintain and improve the quality and safety of our services. All feedback will be reviewed and addressed in accordance with eDryv's policies.

 

LOSS OF PROPERTY OR DAMAGE

eDryv shall not be held liable for any loss, theft, or damage to personal property brought onto or left within vehicles during trips facilitated through the app. Passengers acknowledge and assume full responsibility for safeguarding their belongings during their journey. By using the app and its services, passengers expressly agree that eDryv is not responsible for any direct, indirect, incidental, or consequential loss or damage arising from such occurrences.

 

TRAVEL CONDITIONS AND DELAY

Travel times provided by the eDryv app are estimates and may vary due to factors beyond our control, including but not limited to traffic, road conditions, weather, and access restrictions. eDryv shall not be held liable for any delays, inconvenience, or losses arising from such unforeseen circumstances. Passengers acknowledge and accept that delays may occur and agree that eDryv is not responsible for any resulting consequences.

 

NO ONBOARD EATING

For the comfort and cleanliness of all passengers, eating onboard vehicles provided through the eDryv's services is strictly prohibited. Passengers are expected to comply with this rule to maintain a clean and pleasant travel environment. Failure to adhere to this policy may result in penalties, including temporary or permanent suspension of access to eDryv's services.

 

PASSENGER CONDUCT

Passengers are required to always conduct themselves respectfully and courteously towards drivers. Any form of rude, abusive, or inappropriate behavior, including but not limited to verbal or physical harassment, will not be tolerated. eDryv reserves the right to take appropriate action, including suspension or termination of access to its services, in response to violations of this policy.

 

CONFLICT MANAGEMENT DURING TRIPS

In the event of a conflict or disruptive behavior during a trip, drivers have the right to safely stop the vehicle at an appropriate location to address the situation. This may include resolving the issue directly, requesting passengers comply with conduct guidelines, or contacting support services or authorities if necessary. Passengers are expected to cooperate to ensure the safety and smooth continuation of the trip. eDryv reserves the right to take further action, including suspension or termination of service access, escalating with regulatory authorities in cases of non-compliance.

 

RESTRICTED AREAS

For the safety of passengers and drivers, eDryv's reserves the right to decline or terminate trips to areas deemed unsafe, including but not limited to locations prone to flooding, riots, or other hazardous conditions. If a trip is already in progress and such conditions arise, the driver may safely discontinue the trip. eDryv shall not be held liable for any inconvenience, delays, or losses resulting from the enforcement of this policy.

 

PROHIBITED ACTIVITIES

Passengers and drivers are strictly prohibited from engaging in activities such as offering bribes, unauthorized mileage extensions, or unregistered stops during trips facilitated by eDryv. Any violation of this policy may result in penalties, including but not limited to suspension or permanent blacklisting from the Company's services. The Company reserves the right to investigate and take appropriate action against any party found in breach of this clause.

 

VEHICLE SYSTEM PROTECTION

Passengers are strictly prohibited from tampering with or interfering with any in-vehicle systems, including but not limited to advertisement screens, navigation equipment, or other installed devices. Any damage resulting from such tampering will be assessed, and where the passenger is found to be at fault, the said passenger may be held liable for repair or replacement costs. eDryv reserves the right to take additional action, including suspension or termination of service access, in response to violations of this policy.

 

PROMOTIONS, REWARDS AND DISCOUNTS

eDryv may offer promotions, rewards, and discounts, including the "Green Coin" program, as part of its services. These offers are subject to the eDryv's sole discretion and may be modified, suspended, or terminated at any time without prior notice. EDryv will determine eligibility, terms, and conditions for participation in such programs and may vary. eDryv reserves the right to disqualify participants or withhold benefits in cases of suspected misuse or non-compliance with the applicable terms.

 

LUGGAGE POLICY

Passengers must adhere to the vehicle's luggage capacity limits as specified in the app. Each vehicle has a maximum allowed luggage limit, which is determined based on its size and type. Excess luggage beyond the stated limit may result in the need to make a separate rental booking for additional luggage transport.

In cases where the luggage exceeds the allowable limit, the driver reserves the right to cancel the ride at their discretion, especially in extreme situations where the safety or comfort of the passenger or the vehicle may be compromised. Any ride cancellations due to excess luggage will be subject to the cancellation policy outlined in these Terms and Conditions.

By using the app, passengers agree to comply with these luggage restrictions and acknowledge that failure to do so may result in ride cancellation or additional charges.

 

CUSTOMER SUPPORT AND ISSUE RESOLUTION

Our customer support team strives to respond to all inquiries promptly. However, delays in response should not be interpreted as disregard or neglect. Customers are welcome to send reminders for pending requests, and in cases where issues remain unresolved, they may escalate their concerns to the Compliance Department at compliance@edryv.io. Please note that issues outside the scope of our policies may not be supported, and responses will be provided in accordance with our company's established guidelines.

 

MEDICAL EMERGENCIES

Our transportation service is not equipped to provide first aid or medical assistance. Passengers are solely responsible for their own medical needs during the ride. In the event of a medical emergency, while our drivers are not trained to offer medical care, we will assist in facilitating transportation to the nearest healthcare facility if required. Passengers should ensure they have access to the necessary medical supplies and support while using our service.

By using the service, passengers acknowledge and agree that eDryv is not liable for any medical emergencies or health-related issues that may occur during the ride.

 

MODIFICATIONS AND CHANGES

eDryv has no obligation to provide any updates, correct errors, or continue to provide or enable any features or functionality. eDryv reserves the right to withdraw or amend any part of the platform in its sole discretion and without prior notice. eDryv will not be liable if, for any reason, all or any part of the platform is unavailable at any time or for any length of time.

 

ERRORS/INACCURACIES/OMISSIONS

The content and/or code of this document and our platform may contain inaccuracies, omissions, typographical errors, or other errors, including pricing errors, photographs, or general product descriptions, or may be incomplete, or cannot be used as intended (collectively "Error"). eDryv reserves the right, at any time without prior notice, to correct any such Errors. Error corrections may modify or delete in their entirety certain features and functionality.

 

APP UPDATE

eDryv reserves the right, at any time without prior notice, to modify or supplement the platform from time to time, and develop updates, upgrades, bug fixes, patches, supplemental content and/or new features (collectively, including related documentation, "Updates"). Updates may modify or delete in their entirety certain features and functionality.

 

INSTALLATION AND UPDATES

When published, the updates and error corrections will be deemed part of the platform and be subject to all Legal Terms. Based on the device that you use to access the platform, when the device is connected to the internet, it may automatically download updates or error corrections. If you fail to install the available updates or error corrections and install all available Updates; or you may be prompted to download and install available updates.

 

You agree to promptly download and install all available portions of the platform may not properly operate.

 

OUR RIGHT TO MANAGE AND OPERATE THE PLATFORM

We reserve the right, but do not undertake the obligation to:

 

  • Monitor or review the Platform for violations of our Legal Terms and for non-compliance with our policies;
  • Report to law enforcement authorities and/or take legal action against anyone who violates our Legal Terms;
  • Manage the Platform in a manner designed to protect our and third parties' rights and property or to facilitate the proper functioning of the platform;
  • Screen Users or Members, or attempt to verify the statements of Users or;
  • Monitor disputes between Users, or terminate, block, or suspend any User for violating our Legal Terms; and/or
  • Refuse, restrict access to, or the availability of, or remove, delete, edit or disable (to the extent technologically feasible) any Contribution or any portion thereof.

 

USING THE eDryv APP

eDryv provides a corporate and commercial transportation service where the vehicles are company owned and company operated. Transport services are provided by the user downloading our platform, registering on our app and requesting any of our products or services. The company provides the drivers and the vehicles for transportation.

 

A rider can request a one-off ride hailing service, a rental service and also a scheduled ride service. We also provide an in-car advertisement which can be registered for separately.

 

Disputes arising from consumer rights, legal obligations or from law applicable to the provision of transport services will be resolved between the company and the riders. Data regarding the company's drivers and our transport service is available in the eDryv app and receipts for journeys are sent to the email address listed in passengers' profile.

 

When using the eDryv app, you can only pay for the transport service using our eDryv in-App payment. Payments for eDryv Business rides are handled by a third party using a payment gateway. Charges will be inclusive of applicable taxes where required by law. Charges may include other applicable fees, tolls, and/or surcharges including a booking fee, municipal tolls, airport surcharges or processing fees for split payments.

 

During the installation of eDryv app, passenger's mobile number is linked to the respective eDryv user account and added to our database. If you are no longer using your mobile number, you must notify eDryv within 7 days so we can anonymize your account data. If you do not notify us about any change to your number, your mobile operator may assign same mobile number to a next person and when using eDryv app, this new person can see your data.

 

PROMOTIONAL CODES

eDryv may send you promotional codes on a per promotion basis. Promotional code credit can be applied towards payment on completion of a ride, or other features or benefits related to the service and/or a Third Party's service and are subject to any additional terms that are established on a per promotional code basis. Expiration dates of promo codes will be reflected in-app once you have applied the promo code to your account.

If your trip amount exceeds the redeemable credit allocated to your ride, the balance will be automatically deducted from your account's payment method. Similarly, a promotional code credit only applies on a per ride basis and cannot carry over to a next ride/ trip and therefore will be forfeited. Only one promotional code may be applied per trip.

 

eDryv reserves the right to cancel any promotional code at any time for any reason. This includes, but is not limited to, if eDryv deems that codes are being used in an unlawful or fraudulent manner, those issued mistakenly, and those which have expired.

 

eDryv IN-APP PAYMENT

You can only pay for the transport services with a card, which requires prior activation in the eDryv app. Your obligation to the provider of the transport service will be fulfilled when the payment order is given to transfer funds to EDryvs' bank account. You, as a passenger, are responsible for ensuring that the payment takes place and ensuring that sufficient funds are available.

When making payments by eDryv in-App Payment, eDryv may ask additional data from you to verify payment method. eDryv is not responsible for possible third-party payment costs (mobile operators, bank fees etc.). These service providers may charge you additional fees when processing payments in connection with the eDryv in-App Payment. EDryv is not responsible for any such fees and disclaims all liability in this regard. Your payment method may also be subject to additional terms and conditions imposed by the applicable third-party payment service provider; please review these terms and conditions before using your payment method.

 

eDryv will be responsible for the functioning of Dryv in-App Payment and provide support in resolving problems. The resolution of disputes related to eDryv in-App Payment also takes place through us. For payment support service please contact: infor@eDryv.io.

 

ORDERING AND CANCELLING TRANSPORT SERVICES

Where you order a transport service via the app and your order is accepted with a designated driver, then the transport service is considered to be ordered.

Cancelling the use of an ordered transport service is considered to be the situation where the driver has replied to your request and you subsequently reject, cancel or refuse the transport service. When a transport service request is cancelled after certain time period you are required to pay a cancellation fee.

If you cancel a transport service request on multiple successive instances within 24-hour we may temporarily block your account for warning. After multiple such warnings, we may suspend your account for longer period (e.g: 3 month). After that period you could ask to reactivate your account and your application will be reviewed by eDryv.

When the driver notifies the passenger about the arrival of the vehicle to its destination and passenger or people for whom the transport was ordered do not arrive at the vehicle within a certain time period as specified in the eDryv app, the request will be deemed cancelled. Where the driver cancels a request, the rider will not be charged a cancellation fee.

 

Once the driver arrives and sends you a notification that he/she has arrived the eDryv app may begin charging fare on a waiting time basis according to the rates specified in the eDryv app.

 

If you have requested transport services using the eDryv app and cause damage to the vehicle or its furnishing (among other things, by blemishing or staining the vehicle or causing the vehicle to stink), eDryv will have the right to require you to pay a penalty of xxxxx naira and require compensation for any damages exceeding the penalty. If you do not pay the penalty and/or compensate for the damage, eDryv may pursue the claims against you.

 

LICENSE TO USE EDRYV APP

If you comply with these General Terms and Conditions, we agree to grant you a royalty free, revocable, non-exclusive, right to access and use the EDryv app in accordance with these General Terms and Conditions, the Privacy Notice and the applicable app-store terms. You may not transfer or sub-license this right to use the eDryv app. In the event that your right to use EDryv app is cancelled, the corresponding non-exclusive license will also be cancelled.

 

LIABILITY

As the eDryv transportation business is a company owned and company operated service we may take responsibility in certain instances for the quality or the absence of defects in the provision of transport services, that is as a direct fault or an oversight of our services.

 

The consumer's right to refund is not applied to eDryv app orders. Requesting a refund from the transport service does not withdraw you from the agreement in the course of which the provision of the transport service was ordered.

 

The transportation service is provided on an "as is" and "as available" basis. eDryv does not represent, warrant or guarantee that access to eDryv app will be uninterrupted or error free. In case of any faults in the software, we will endeavour to correct them as soon as possible, but please keep in mind that the functioning of the app may be restricted due to occasional technical errors, and we are not able to guarantee that the app will function at all times, for example a public emergency may result in a service interruption.

 

eDryv, its representatives, directors and employees are not liable for any loss or damage that you may incur as a result of using eDryv app or relying on, the journey contracted for through the EDryv app, including but not limited to: any direct or indirect property damage or monetary loss; loss of profit; loss of business, contracts, contacts, goodwill, reputation and any loss that may arise from interruption of the business; loss or inaccuracy of data; and any other type of loss or damage.

 

The financial liability of eDryv in connection with breach of contract will be limited to 250,000 Naira. You will have the right to claim damages only if eDryv has deliberately violated the contract. eDryv will not be liable for the actions or inactions of the rider that may have caused damage to our drivers or vehicles.

 

You agree to fully indemnify and hold eDryv, their affiliate companies, representatives, employees and directors harmless from any claims or losses (including liabilities, damages, costs and expenses of any nature) that they suffer as a result of your use of the eDryv app (including the journeys you obtain through your use of the eDryv app). eDryv may immediately end your use of the EDryv app if you breach these General Terms and Conditions or we consider it necessary to protect the integrity of eDryv or the safety of drivers.

 

GOOD PRACTICE USING THE EDRYV APP

We may ask that our passengers fill out a feedback form in the eDryv app. This enables us to offer suggestions to the drivers for improving the quality of their service.

We expect that you use eDryv app in good faith and be respectful of the drivers who offer their services through eDryv app. eDryv retains the right to close your account if you have violated the terms set out in this General Terms and Conditions or if your activities are malicious, i.e. withholding payment for the provision of the transport service, fraud, being disrespectful towards the drivers, etc. In these cases, your eDryv app account may be revoked without prior notice.

eDryv will make every effort to ensure that only drivers, who have integrity and are respectful of their profession and passengers, use the EDryv app. However, we are in no position to guarantee that every provider of transport services, located by the EDryv app, always satisfies the aforementioned criteria. If you experience an objectionable transport service, please notify the company immediately. responsible for the service rendered, or our customer support.

 

 

To ensure safety of the eDryv platform for all users, eDryv may ask the rider to verify their identity. If eDryv is not able to verify the identity of the rider, the eDryv Service may be suspended until the verification process is completed.

 

CAMERA AND CCTV MONITORING

For the safety and security of both riders and drivers, all vehicles operated under our transportation services are equipped with in-app cameras and/or CCTV systems that monitor the entirety of each journey. By using our services, you acknowledge and agree that your journey will be recorded, and these recordings may be used for safety, security, and compliance purposes. The data collected through these systems will be handled in accordance with our (Privacy Policy) and the provisions of the National Data Protection Act.

 

AMENDMENTS TO THE GENERAL TERMS AND CONDITIONS

Where any substantial amendments are made to the General Terms and Conditions, then you will be notified by e-mail or eDryv app notifications. If you continue using eDryv app, you will be deemed to accept the amendments.

 

FINAL PROVISIONS AND GOVERNING LAW

The General Terms and Conditions will be governed by and construed and enforced in accordance with the laws of the Federal Republic of Nigeria. If the respective dispute resulting from General Terms or Agreement could not be settled by the negotiations, then the dispute will be finally solved by Arbitration. The Arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, Cap 19, LFN or any amendment made thereto for the time being in force and in accordance with the rules prescribed under the Act.

 If any provision of the General Terms is held to be unenforceable, the parties will substitute for the affected provision an enforceable provision that approximates the intent and economic effect of the affected provision.
